На виконання вимог ст. 65-2 Закону України “Про акціонерні товариства”, цим листом Компанія повідомляє Національну комісію з цінних паперів та фондового ринку, код ЄДРПОУ 37956207 (“Комісія”) та Приватне акцiонерне товариство “БЕЛЬ ШОСТКА УКРАЇНА”, код ЄДРПОУ 00447103 (“Товариство”), про набуття 18 листопада 2021 року (“Дата Набуття Акцій”) права власності на домінуючий контрольний пакет акцій Товариства, який становить 95 і більше відсотків голосуючих акцій Товариства.  

Following the provisions of Article 65-2 of the Law of Ukraine “On Joint-Stock Companies” the Company hereby notifies the National securities and srock market commission, EDRPOU code 37956207 (the “Commission”) and Private Joint-Stock Company “BEL SHOSTKA UKRAINE”, EDRPOU code 00447103 (the “Bel Shostka”), on the acquisition of ownership title to the dominant controlling block of shares of Bel Shostka that constitutes 95 and more percent of voting shares of Bel Shostka on 18 November 2021 (“Date of Shares Acquisition”).

Information on the shares of Bel Shostka, acquired by the Company:

The highest price at which the Company acquired Bel Shostka’s shares for the period of 12 months prior to the Date of Shares Acquisition, including the Date of Shares Acquisition:

• 3 755 700,00 євро (три мільйони сімсот п’ятдесят п’ять тисяч сімсот євро), що становить 112 661 235 гривень (сто дванадцять мільйонів шістсот шістдесят одна тисяча двісті тридцять п’ять гривень) за офіційним курсом, встановленим Національним банком України станом на Дату Набуття Акцій – за 11 638 164 акцій Товариства, що становить 100% від загальної кількості акцій Товариства; або

• EUR3,755,700 (three million seven hundred and fifty-five thousand and seven hundred euros), which equals to UAH112,661,235 (one hundred twelve million six hundred sixty one thousand two hundred thirty five) at the official rate set by the National Bank of Ukraine as of the Date of Shares Acquisition – for 11,638,164 shares of Bel Shostka, which constitutes 100% of the total number of Company’s shares; or

• 0,3227 євро (нуль євро три тисячі двісті двадцять сім десятитисячних євроцентів), що становить 9,68 гривень (дев’ять гривень шістдесят вісім копійок) за офіційним курсом, встановленим Національним банком України станом на Дату Набуття Акцій – за 1 акцію Товариства.

• EUR0.3227 (zero euros and three thousand two hundred twenty-seven tenth thousandths eurocents), which equals to UAH9.68 (nine hryvnias and sixty eight kopecks) at the official rate set by the National Bank of Ukraine as of the Date of Shares Acquisition – for 1 share of Bel Shostka.

Найвища ціна, за якою афілійована особа Компанії, Софіл, придбавала акції Товариства протягом 12 місяців, що передують Даті Набуття Акцій включно із Датою Набуття Акцій:

The highest price at which the Company’s affiliate, Sofil, acquired Bel Shostka’s shares for the period of 12 months prior to the Date of Shares Acquisition, including the Date of Shares Acquisition:

• 8 000 080,00 євро (вісім мільйонів вісімдесят євро нуль євроцентів), що становить 247 850 478,48 гривень (двісті сорок сім мільйонів вісімсот п’ятдесят тисяч чотириста сімдесят вісім гривень сорок вісім копійок) за офіційним курсом, встановленим Національним банком України станом на 30 вересня 2021 року (дата набуття Софіл акцій Товариства) – за 11 638 164 акцій Товариства, що становить 100% від загальної кількості акцій Товариства; або

• EUR8,000,080.00 (eight million and eighty euros zero eurocents), which equals to UAH247,850,478.48 (two hundred and forty-seven million eight hundred and fifty thousand four hundred and seventy-eight hryvnias forty-eight kopecks) at the official rate set by the National Bank of Ukraine as of the 30 September 2021 (date of acquisition of Bel Shostka’s shares by Sofil) – for 11,638,164 shares of Bel Shostka, which constitutes 100% of the total number of Company’s shares; or

• 0,6874 євро (нуль євро шість тисяч вісімсот сімдесят чотири десятитисячних євроцентів), що становить 21,30 гривень (двадцять одна гривня тридцять копійок) за офіційним курсом, встановленим Національним банком України станом на 30 вересня 2021 року (дата набуття Софіл акцій Товариства) – за 1 акцію Товариства.

• EUR0.6874 (zero euros and six thousand eight hundred seventy-fourth ten thousandths eurocents), which equals to UAH21.30 (twenty-one hryvnias and thirty kopecks) at the official rate set by the National Bank of Ukraine as of the 30 September 2021 (date of acquisition of Bel Shostka’s shares by Sofil) – for 1 share of Bel Shostka.
